The Gemco Players Community Theatre is preparing for an important moment in its history. On Monday, 23 March 2026, members will gather to vote on adopting a new Constitution. This update represents the most significant change to the theatre’s governing rules since its incorporation. Understanding what this means and why it matters will help members participate confidently in the Special General Meeting.
Why the New Constitution Matters
The current Constitution has served the theatre for many years, but times change. The Board has proposed a new Constitution (Version 70, 2026 Edition) to modernize governance and ensure compliance with current laws. This update will:
Clarify roles and responsibilities within the organisation
Improve decision-making processes
Reflect changes in legislation affecting community groups
Support the theatre’s growth and sustainability
Members will vote on a Special Resolution to repeal the existing Rules entirely and replace them with the new document. This is a rare opportunity to shape the future framework that guides the theatre’s operations.
Details of the Special General Meeting
The meeting will take place on Monday, 23 March 2026, from 6:00 pm to 7:30 pm at the Gem Community Arts Centre, located at 19 Kilvington Drive, Emerald VIC 3782. For those unable to attend in person, the meeting will be accessible online via Google Meet. The video call link is https://meet.google.com/zkc-vijj-rix, and the meeting will be open from 5:50 pm to 8:00 pm AEDT.
Members joining online will be counted toward quorum and can vote on all matters. This means that participating remotely is equivalent to being physically present, ensuring everyone has a chance to contribute.
What to Expect During the Meeting
The meeting will focus on discussing the proposed new Constitution. The Chairperson will present the document, highlighting key changes and answering questions. Members will then vote on the Special Resolution:
"That the Rules of the Association known as the Gemco Players Community Theatre Inc. (Registration No. A0029443J) be altered by repealing the existing Rules in their entirety and substituting therefor the new Rules contained in the document titled 'Constitution of Gemco Players Community Theatre Inc. — Version 70', as tabled at this meeting and initialled by the Chairperson."
Voting will be conducted according to the theatre’s current Rules, and the outcome will determine the governance structure for years to come.
How Members Can Prepare
To make an informed decision, members should:
Review the new Constitution document in advance. Copies have been distributed via email and are available on the theatre’s website.
Note any questions or concerns to raise during the meeting.
Decide whether to attend in person or online based on convenience and preference.
Ensure membership status is current to be eligible to vote.
Active participation is crucial. The new Constitution will affect how the theatre operates, how decisions are made, and how members engage with the organisation.
The Impact of Adopting the New Constitution
Adopting the new Constitution will bring several benefits:
Clearer governance: Defined roles and responsibilities reduce confusion and improve accountability.
Legal compliance: The theatre will meet all current legislative requirements, reducing risk.
Member engagement: Updated rules encourage more transparent and inclusive decision-making.
Future readiness: The Constitution supports growth and adaptation to changing community needs.
This change is not just administrative. It strengthens the foundation of the theatre, enabling it to continue providing quality community arts experiences.
What Happens After the Vote
If the Special Resolution passes, the new Constitution will take effect after it is approved by CAV(consumer Affairs Victoria). The Board will then begin implementing any necessary changes to align operations with the updated rules. Members will be kept informed about how the new governance framework affects committees, elections, and other activities.
If the resolution does not pass, the current Constitution remains in place. The Board may revisit the proposal or consider alternative approaches in the future.
Encouraging Participation and Dialogue
The Special General Meeting is an opportunity for members to engage directly with the theatre’s governance. Open dialogue during the meeting will help clarify any uncertainties and build consensus. Members are encouraged to:
Attend the meeting prepared to listen and ask questions
Share their views respectfully
Vote based on a clear understanding of the proposed changes
This process reflects the community spirit that defines the Gemco Players Community Theatre.
